1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Majlis By The Sea ("Company," "we," "us," or "our") governing your access to and use of our mobile application, website, and related services (collectively, the "Services").

By creating an account, subscribing to our membership, or otherwise accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Majlis By The Sea is a curated community and event platform based in Dubai that facilitates meaningful social connections through intimate, high-quality group experiences. Our Services include:

• A subscription-based membership program
• Curated events and gatherings (breakfast meetups, themed dinners, beach mornings, road trips, and multi-activity days)
• AI-driven and manual matching to create balanced groups of 4-6 individuals
• Event application, approval, and confirmation processes
• Event logistics, briefings, and communication
• Post-event feedback collection

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts
• Reside in or be able to attend events in the United Arab Emirates
• Provide accurate, complete, and current information during registration
• Not have been previously suspended or removed from our Services

By using our Services, you represent and warrant that you meet all eligibility requirements.

4. Account Registration

To access our Services, you must create an account. You agree to:

• Provide truthful, accurate, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

5. Membership and Subscriptions

5.1 Subscription Plans

Access to events requires an active subscription. Subscription plans, pricing, and included event credits are described on our platform and may change from time to time. Changes to pricing will not affect your current billing cycle.

5.2 Event Credits

Subscriptions include monthly event credits. Credits are used when you are approved for and confirm attendance at an event. Unused credits may or may not roll over to subsequent months depending on your subscription plan. Credit terms are specified in your subscription details.

5.3 Billing and Payment

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your designated payment method
• All fees are stated in the applicable currency and are non-refundable except as stated in our Cancellation Policy
• You are responsible for any taxes applicable to your subscription

5.4 Subscription Cancellation

You may cancel your subscription at any time through the app or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Event Application and Matching

6.1 Application Process

Members may apply to events that interest them. Application does not guarantee approval. Our team evaluates applications based on profile compatibility, group dynamics, and event-specific criteria.

6.2 Matching and Approval

We use a combination of manual curation and AI-driven algorithms to match attendees into balanced groups. Matching considers factors such as:

• Age group and preferences
• Interests and hobbies
• Profession diversity
• Social energy and personality indicators
• Past event feedback

We strive for fairness, but matching decisions are at our sole discretion. If you are not selected for an event, your credit remains unused for future events.

6.3 No Guarantee of Selection

We do not guarantee that you will be selected for any specific event. Selection is based on creating the best possible group experience for all participants.

7. User Conduct

By using our Services and attending our events, you agree to:

• Treat other members, staff, and venue personnel with respect and courtesy
• Act in a professional and socially appropriate manner
• Not engage in harassment, discrimination, or offensive behavior
• Not solicit other members for commercial purposes without approval
• Respect the privacy and confidentiality of other members
• Comply with all venue rules and local laws
• Arrive on time for confirmed events
• Notify us promptly if you cannot attend a confirmed event

We reserve the right to refuse service, remove attendees from events, and terminate memberships for conduct violations.

8. Prohibited Activities

You agree not to:

• Provide false or misleading information in your profile or communications
• Impersonate another person or entity
• Use our Services for any unlawful purpose
• Harass, abuse, or harm other users
• Collect or harvest information about other users without consent
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Use automated systems or bots to access the Services
• Transfer your account or membership to another person
• Engage in any activity that could damage our reputation or brand

9. Intellectual Property

All content, features, and functionality of our Services—including but not limited to text, graphics, logos, icons, images, audio, video, software, and the overall design—are owned by Majlis By The Sea or our licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks, logos, or branding without written consent
• Reverse engineer or attempt to extract source code from the app
• Create derivative works based on our Services

10. User Content

You may submit content to our platform, including profile information, photos, feedback, and communications ("User Content"). By submitting User Content, you:

• Grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content in connection with the Services
• Represent that you own or have the right to submit such content
• Agree that your content does not violate any third-party rights or applicable laws

We reserve the right to remove User Content that violates these Terms or is otherwise objectionable.

11. Photos and Media at Events

We may take photographs or videos at our events for marketing, social media, and promotional purposes. By attending our events, you consent to being photographed or recorded and grant us the right to use such media. If you do not wish to be photographed, please inform our event facilitators upon arrival, and we will make reasonable accommodations.

12. Cancellations and Refunds

Our cancellation and refund policies are detailed in our Cancellation Policy. By using our Services, you agree to the terms outlined therein.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability, fitness for a particular purpose, and non-infringement
• That the Services will be uninterrupted, error-free, or secure
• The accuracy, reliability, or completeness of any content
• Any results or outcomes from using our matching or event services

We do not guarantee that you will form meaningful connections, friendships, or relationships through our Services. Social outcomes depend on many factors beyond our control.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAJLIS BY THE SEA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Personal injury or property damage arising from your use of the Services or attendance at events
• Conduct of other users or third parties
• Any unauthorized access to or use of our servers or personal information

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Majlis By The Sea and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your conduct at events.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms
• Conduct detrimental to other users or the community
• Fraudulent or illegal activity
• Non-payment of subscription fees
• At our sole discretion for any other reason

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination shall survive.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve any disputes informally
• Mediation: If informal resolution fails, the parties agree to attempt mediation in Dubai, UAE
• Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of Dubai, United Arab Emirates

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dubai, UAE.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and/or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy and Cancellation Policy, constitute the entire agreement between you and Majlis By The Sea regarding your use of the Services. They supersede any prior agreements, understandings, or representations.
